• Deliver licensed source code and setup documentation

• Maintain client accounts and subscriptions

• Communicate updates, invoices, and service notifications

All information is stored securely and accessed only by authorized team members.

4. Data Protection & Security

We implement standard industry security practices, including encrypted storage, SSL-secured communication, and restricted internal access.

5. Client Confidentiality

We treat all client data, projects, and source code as confidential.
No proprietary material shared by a client will be disclosed, reused, or resold without written permission.

6. License & Service Terms

License Purchase (Source Code Version)

The client receives a perpetual, non-exclusive, non-transferable license for the delivered source code (“Licensed Software”).
This license allows internal business use, modification, and deployment, but does not permit resale, redistribution, or sub-licensing of the source code.

The Licensed Software and all associated intellectual property remain the property of ProlificWebCraft.

Optional Maintenance

Clients may subscribe to our Maintenance Program with a 6-month minimum term, billed monthly.
This program ensures stable updates, compatibility support, and assistance with hosting, deployment, and integrations.

After the initial 6-month term:

• The subscription renews month-to-month automatically.

• Either party may cancel with 30-days’ written notice.

• During this 30-day period, billing and service continue to ensure a safe transition or migration.

7. Cancellation Policy

• Clients using Managed Plans or Maintenance Programs may cancel anytime after the initial commitment period.

• A 30-day written notice is required to ensure proper off-boarding, file migration, and secure account closure.

• During this period, normal billing remains active.

This process protects both parties from data loss, downtime, and miscommunication during service termination.

8. Intellectual Property

All designs, frameworks, templates, and source files created by ProlificWebCraft remain our intellectual property unless otherwise stated in writing.
Clients who purchase source code licenses obtain use rights but not ownership of our core frameworks or proprietary technologies.

9. Liability

Our services are provided “as is.”
We make no warranties, expressed or implied, regarding performance, uptime, or fitness for a specific purpose.
We are not responsible for any data loss, system downtime, or indirect damages resulting from client-side hosting, third-party services, or code modification by the client or their affiliates.

10. Payment Terms

• All invoices are due upon receipt unless otherwise stated in your service agreement.

• Late or failed payments may result in temporary suspension of service or access.

• All subscription renewals and recurring charges are processed automatically through your chosen payment method.

11. Governing Law

This agreement shall be governed by and interpreted under the laws of USA.
Any disputes shall be resolved through mediation or arbitration in the jurisdiction of Richmond,VA.

12. Updates to This Policy

We may update this Privacy Policy and Service Agreement periodically.
All updates will be posted on our website, and material changes will be communicated directly to active clients.

Acknowledgment & Acceptance

By using our services, purchasing a license, or subscribing to a maintenance plan, the client acknowledges they have read and agreed to this Privacy Policy and Source Code License Agreement in full.
